Permission and Release to Use Photo and Image

Background: I am the owner of a certain image, photograph, digital print and/or reproduction (the “Work”) that I have posted, used and/or displayed from time to time.  The Company (as defined below) is interested in using the Work and has requested my permission to allow the Company to use the Work for its own purposes.  I will continue to own the Work, but I am willing to provide such permission and right to the Company.

Therefore, I hereby grant to TPC US Parent, LLC, as well as its subsidiaries and affiliates, including Targeted Pet Treats, LLC, and each and all of their respective successors, assigns, representatives, agents and employees (individually and collectively, the “Company”), the non-exclusive, irrevocable, worldwide, royalty-free license, right and permission to use the Work, including my photograph, image and/or likeness in and to the Work, in any manner or media without notifying me in advance.  Such potential uses of the Work may include promotional, advertising and trade, through any medium or format, including, but not limited to, videotape, film, photograph, television, digital/electronic, internet, or exhibition, and may appear on Company-sponsored web sites and in publications, various social media (e.g., Facebook, Twitter, Instagram, Linked-In, etc.), promotions, broadcasts, advertisements, posters and slides without limitation, without payment or any other additional consideration.

I hereby irrevocably permit and authorize the Company to edit, alter, copy, exhibit, or distribute the Work for purposes of developing, marketing, and publishing any trade or advertising and related materials (in any format) or any other lawful purpose.  In addition, I waive the right to inspect or approve the finished product, including written or electronic copy.  Additionally, I waive any right to royalties or other compensation arising or related to the use of the Work.

I hereby hold harmless and release and forever discharge the Company from any and all claims, demands, and causes of action which I, my heirs, representatives, executors, administrators, or any other persons acting on my behalf or on behalf of my estate have or may have by reason of this license and authorization, or arising out of or in connection with use of the Work.

I HAVE READ THE ABOVE PERMISSION AND RELEASE, AND I UNDERSTAND THAT I HAVE GIVEN UP SUBSTANTIAL RIGHTS BY APPROVING THIS FORM.  I CONFIRM THAT I AM AT LEAST 18 YEARS OLD AND HAVE THE RIGHT TO CONTRACT IN MY OWN NAME.  I HAVE APPROVED VOLUNTARILY AND WITH THE INTENT TO BE LEGALLY BOUND BY THIS PERMISSION AND RELEASE.
